non-infringement, freedom from computer viruses, worms, and other

2. Conduct and Responsibilities.
* You are solely responsible for your conduct and

any related service.
* You are responsible for any activity or content
associated with your screen name.
* You are responsible for keeping your password
secure.

* You must not submit content that is unlawful,

* International users agree to comply with all local
laws regarding online conduct and acceptable content.

it is associated with GrantHippo, LLC.

termination of your GrantHippo account. While GrantHippo, LLC
prohibits the conduct and content described above on our Website and in
related services; you agree that your use thereof is at your own risk.
GrantHippo, LLC will not be responsible for the content posted on our
Website and in related services and you may be exposed to such conduct
and content materials.
3. General Conditions
GrantHippo, LLC reserves the right to modify or terminate all or any
portion of our Website and related services for any reason, without
notice at any time.
We also reserve the right to alter these Terms at any time. If the
alterations constitute a material change to the Terms, we may notify
you via email (if you've provided us with your email address) as well
as on our GrantHippo.com homepage and/or the Terms page itself. What
constitutes a "material change" will be determined at our sole
discretion, in good faith and using common sense and reasonable
judgment.
We reserve the right to refuse service to anyone for any legally
permitted reason at any time.
We may, but have no obligation to, remove content and accounts
containing content that we determine in our sole discretion are
unlawful, offensive, threatening, libelous, defamatory, obscene or
otherwise objectionable or that violates any party's intellectual

may choose to provide attribution of your comments or reviews at our
discretion. You further grant GrantHippo, LLC and its affiliates the
right to pursue at law any person or entity that violates your or
GrantHippo, LLC and its rights in the Submissions by a breach of this
Agreement. You acknowledge and agree that Submissions are
non-confidential and non-proprietary.
Our Website or other services we offer may contain discussion forums,
bulletin boards, review services or other forums in which you or third
parties may post reviews of venues, events or other content, messages,
materials or other items ("Interactive Areas"). If GrantHippo, LLC
provides such Interactive Areas, you are solely responsible for your
use of such Interactive Areas and use them at your own risk. By using

* content that impersonates any person or entity or
otherwise misrepresents your affiliation with a person or entity,
including GrantHippo, LLC and its affiliates;
* unsolicited promotions, political campaigning,
advertising, contests, raffles, or solicitations;
* private information of any third party, including,
without limitation, surname (family name) addresses, phone numbers,
email addresses, Social Security numbers and credit card numbers;
* viruses, corrupted data or other harmful,
disruptive or destructive files;
* content that is unrelated to the topic of the
Interactive Area(s) in which such Content is posted; or
* content or links to content that, in the sole
judgment of GrantHippo, LLC, (a) violates the previous subsections
herein, (b) is objectionable, (c) which restricts or inhibits any other
person from using or enjoying the Interactive Areas or the Site, or (d)
which may expose GrantHippo, LLC and its affiliates or its users to
any harm or liability of any type.
GrantHippo, LLC takes no responsibility and assumes no liability for
any content posted, stored or uploaded by you or any third party, or
for any loss or damage thereto, nor is GrantHippo, LLC liable for any
mistakes, defamation, slander, libel, omissions, falsehoods, obscenity,
pornography or profanity you may encounter. As a provider of
interactive services, GrantHippo, LLC is not liable for any
statements, representations or content provided by its users in any
public forum, personal home page or other Interactive Area. Although
GrantHippo, LLC has no obligation to screen, edit or monitor any of
the content posted to or distributed through any Interactive Area,
GrantHippo, LLC reserves the right, and has absolute discretion, to
remove, screen or edit without notice any content posted or stored on
the our Website or through other services at any time and for any
reason, and you are solely responsible for creating backup copies of

Service and may result in, among other things, termination or
suspension of your rights to use the Interactive Areas and/or our
Website and related services. In order to cooperate with legitimate

GrantHippo, LLC's systems and customers, or to ensure the integrity
and operation of GrantHippo, LLC's business and systems,
GrantHippo, LLC may access and disclose any information it considers
necessary or appropriate, including, without limitation, user profile
information (i.e. name, email address, etc.), IP addressing and traffic
information, usage history, and posted content. GrantHippo, LLC's
right to disclose any such information shall take precedence over any
terms of GrantHippo, LLC's Privacy Policy as set forth below.
5. Liability Limitations
In no event shall GrantHippo LLC or its affiliates or agents (the
"GrantHippo Parties") be liable, whether in an action under contract,
negligence, or any other theory, arising out of or in connection with
the use, inability to use, or performance of the information, services,
products, and materials available from this Website. FURTHERMORE, IN NO EVENT SHALL THE GrantHippo
PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE,
INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, even if we have been
previously advised of the possibility of such damages. These
limitations shall apply notwithstanding to any failure of essential
purpose of any limited remedy. Some states may not allow the exclusion
or limitation of liability for consequential or incidental damages, so
the above limitations may not apply to you.
6. Third-Party Sites
Our Website, surveys, or other services may include links to other
sites on the Internet that are owned and operated by other agencies. You acknowledge that we are not responsible for the
availability of, or the content located on or through, any third-party

third-party sites if you have any concerns regarding such links or the

7. Dispute Resolution
We will do our best to resolve any problems or issues that you may have
with us or our services in a satisfactory manner. If, however, we are
unable to reach a mutually satisfactory resolution, each of us agrees
that any claim or controversy between us, or arising in any way out of
the use or operation of our Website or other services, or any
information, services, products, and materials contained in this site
or available through our other services, shall be resolved by binding
arbitration before a single arbitrator of the American Arbitration
Association (AAA) in Boston, Massachusetts under the rules and
procedures of the AAA. Any such dispute or controversy shall be
arbitrated on an individual basis, and shall not be consolidated in any
arbitration with any claim or controversy of any other party. The
arbitrator shall have authority to resolve all matters in dispute
between us (subject to the legal disclaimer and liability limitations
set forth above), including the applicability, scope and binding effect
of this arbitration agreement, and to award arbitration costs and
expenses to the prevailing party as determined by the arbitrator.
Notwithstanding the foregoing, either party may pursue preliminary or
injunctive remedies in an appropriate state or federal court sitting in
Boston, Massachusetts pending the decision of the arbitrator, without
waiving the right or affecting the obligation to arbitrate hereunder.

of Massachusetts, USA. As such, we are subject to the laws of the State
of Massachusetts, and such laws will govern this User Agreement,
without giving effect to any choice of law rules. We make no

to the internal laws of the State of Massachusetts. You are in the best

services, and operation of our Website or other services may be
interfered with or adversely affected by numerous factors or

other provisions (and any partially-unenforceable provision) shall not

LLC, in our sole discretion, to a third party in the event of a merger
or acquisition. This User Agreement shall apply in addition to, and
shall not be superseded by, any other written agreement between us
relating to your participation as a GrantHippo.com Member or
participation in any other program or service offered by us. You agree
that by accepting this User Agreement, you are consenting to the use
and disclosure of your personally identifiable information and other
privacy practices in accordance with applicable law and our Privacy
Policy set forth in Section 7 below.

text, graphics, interfaces, and the selection and arrangements thereof
